Vendor Agreement

1. Parties

This agreement is between Eramdam Shoppe, operating under the brand name phunga, and the restaurant, food vendor, cloud kitchen, or business entity approved for listing on the platform.

2. Vendor Onboarding

Vendors may be required to provide business name, owner/contact person details, address, phone number, menu, pricing, bank details, tax details, FSSAI registration/licence where applicable, and other documents requested for verification.

3. Vendor Responsibilities

The vendor is responsible for:

• Maintaining food quality, hygiene, and safety standards.
• Preparing food according to customer orders.
• Using safe, clean, and suitable packaging.
• Keeping menu, prices, item availability, images, and descriptions accurate.
• Accepting or rejecting orders promptly.
• Preparing orders within the estimated preparation time.
• Complying with applicable food safety, tax, labour, municipal, and business laws.

4. Menu and Pricing

Vendors must provide accurate menu details and prices. Any price changes, item unavailability, or menu updates should be communicated to phunga or updated through the vendor/admin system where available.

Vendors are responsible for ensuring that displayed prices and taxes are compliant with applicable laws.

5. Order Fulfilment

Once a vendor accepts an order, the vendor must prepare the order in a timely manner and hand it over for delivery or pickup as per the agreed operational process. Repeated delays, cancellations, poor packaging, or quality complaints may result in warnings, temporary suspension, or removal from the platform.

6. Food Quality, Safety, and Complaints

Vendors are solely responsible for the quality, safety, freshness, hygiene, ingredients, and legal compliance of food prepared and supplied by them. Vendors agree to cooperate with phunga in resolving customer complaints, refund requests, missing item claims, wrong item claims, and food quality issues.

7. Commission and Charges

phunga may charge commission, platform fee, listing fee, payment gateway charges, delivery coordination charges, marketing charges, or other agreed charges. The applicable commercial terms may be communicated separately in writing, email, dashboard, or agreement.

8. Payments and Payouts

Vendor payouts will be processed after deduction of applicable commission, charges, refunds, adjustments, taxes, penalties, and other agreed deductions. Payout timelines may be daily, weekly, or as mutually agreed.

Vendors must provide correct bank details. phunga shall not be responsible for payout delays caused by incorrect bank details, banking issues, compliance holds, or payment gateway delays.

9. Taxes and Invoices

Vendors are responsible for their own tax registration, GST compliance where applicable, invoices, accounting, and statutory filings. phunga may provide transaction reports or order summaries where available.

10. Cancellation and Refunds

Vendors agree to cooperate in cancellation and refund decisions where the issue is caused by item unavailability, wrong item, missing item, spoiled food, excessive delay, or vendor-side service failure.

Refund amounts attributable to vendor error may be adjusted from vendor payouts.

11. Platform Content

Vendors grant phunga permission to use vendor name, logo, menu, item images, descriptions, prices, offers, and business information on the platform for listing, marketing, and order fulfilment purposes.

12. Suspension or Termination

phunga may suspend or terminate vendor access for poor service, legal non-compliance, customer complaints, fraudulent activity, misuse of the platform, repeated cancellations, unsafe food practices, or breach of this agreement.

Either party may terminate the relationship by giving reasonable notice, subject to settlement of pending orders, payouts, refunds, and dues.

13. Limitation of Liability

phunga shall not be liable for vendor-side food quality issues, regulatory violations, wrong menu declarations, tax non-compliance, customer health issues arising from vendor food, or vendor operational failures, except to the extent required by applicable law.

14. Governing Law

This agreement shall be governed by the laws of India. Subject to applicable law, disputes shall be subject to the jurisdiction of competent courts in Imphal, Manipur, India.
